Terms of service.

The terms for using opsgrids.com and the OpsGrids products. New accounts are created at app.opsgrids.com/signup, and creating one means accepting these terms.

Last updated: 12 October 2026

1. Acceptance of these terms

These terms are an agreement between OpsGrids Pvt Ltd (HSR Layout, Bengaluru, Karnataka, India), referred to here as “OpsGrids”, “we” or “us”, and the organisation that uses our products, referred to as “you” or “the customer”. Clauses 9 and 15 also apply to anyone who visits opsgrids.com.

They cover the website at opsgrids.com and the signed-in products at app.opsgrids.com: Finance (including GST e-invoicing), HRMS, Support & IT service desk, Operations & Inventory, Storefront, CRM, Project management, PulseBoard and Marketing. Each product is sold separately and all of them sit under one organisation account.

By creating an account, signing in, or using a product, you accept these terms. If you do not accept them, do not use the products.

2. Who can use the products

The products are built for businesses and other organisations, not for personal or household use. The person who signs up does so on behalf of an organisation and confirms that they have authority to bind it to these terms.

That person, or whoever the organisation later names in their place, is the account owner. The account owner is responsible for who is invited into the organisation, what permissions each user is given, and for every action taken under the organisation’s account.

3. Accounts and security

Each user signs in with their own credentials. Keep them private, do not share accounts between people, and give the information we ask for at sign-up accurately.

Tell us at zionna@opsgrids.com as soon as you suspect that an account has been accessed without permission. We may suspend access to an account where we reasonably believe it has been compromised, and will tell the account owner when we do.

4. Acceptable use

You agree not to, and not to let anyone using your account:

break any law that applies to you, including tax, labour and data protection law; upload content you have no right to use, or content that is unlawful, defamatory or infringing; try to reach another organisation’s data or probe, scan or test the security of the products without our written permission; interfere with the products or put an unreasonable load on them; copy, resell or reverse engineer the products except where the law allows it regardless of this clause; use the products to send messages the recipient has not agreed to receive; or host, publish or share content that belongs to someone else without the right to use it; is obscene, harmful to children, or invades another person’s privacy; impersonates anyone; is knowingly false or misleading; threatens the unity, integrity, defence, security or sovereignty of India or public order; contains malware; or breaks any law in force.

We may remove such content and suspend or end access for use that breaks this clause. Where it is practical, we will tell you first and give you a chance to fix it.

5. Your data

You own the data you and your users put into the products, including employee, customer, invoice and inventory records. We do not claim any ownership of it.

You give us a limited licence to store, process and display that data only as needed to provide, secure and support the products for you. We do not sell it.

For personal data in your records, such as employee details, attendance including geo-fenced check-in locations, and customer contacts, you decide why and how it is processed, so under the Digital Personal Data Protection Act, 2023 you are the Data Fiduciary and we act as your Data Processor, processing it only on your instructions. You are responsible for having a lawful basis and giving any notice required, including telling employees that attendance records their location at check-in.

When we process personal data on your behalf, we will: process it only to provide the products and on your documented instructions; keep reasonable security safeguards in place, as required by the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000; tell you without undue delay, and within 72 hours, after we become aware of a personal data breach affecting your data, so you can tell the Data Protection Board of India and the people affected; help you answer requests from people to access, correct or erase their data; use only sub-processors bound by confidentiality and security obligations, currently Amazon Web Services for hosting and the email and WhatsApp delivery services that send the notifications you set up; and erase your data when you close your account or ask us to, unless the law requires us to keep it.

Product data is stored with Amazon Web Services in AWS us-east-1 (N. Virginia, USA), which is outside India. By using the products you agree to that storage location.

6. Subscriptions and payment

Products are subscribed to separately. Fees and the billing period, monthly or annual, are those in your order or in the plan you choose in the product. Fees are billed in advance and are exclusive of GST, which is added at the applicable rate. Subscriptions renew for the same period unless cancelled before the renewal date. Fees already paid are not refundable, except where Indian law requires a refund or where we end the service without cause, in which case we refund the unused part.

7. Changes to the products and availability

We do not offer an uptime commitment or a service level agreement today. We work to keep the products available, but they may be interrupted for maintenance, by failures at our providers, or for reasons outside our control.

The products are changing quickly. Some screens are marked as a preview or “coming soon”, and the product pages on opsgrids.com say what each product does and does not do today. We may add, change or remove features. If we remove a feature you pay for, we will tell the account owner in advance.

8. Third-party services

Some features connect to services run by others, such as WhatsApp for messaging and the GST portal and Invoice Registration Portals (IRP) for returns, e-invoices and e-way bills. Your use of those services is governed by their own terms, and you are responsible for holding any account or credentials they require.

We are not responsible for the availability, accuracy or decisions of those services, including an IRN or e-way bill they reject or delay. You remain responsible for your tax filings and for checking what is submitted in your name.

9. Intellectual property

The products, the website, our software, designs and the OpsGrids name and logo belong to us or our licensors. These terms give you a right to use the products during your subscription. They do not transfer any ownership.

If you send us suggestions or feedback, we may use them to improve the products without any obligation to you.

10. Confidentiality

Each party will keep the other’s non-public business information confidential, use it only for the purpose of this agreement, and share it only with people who need it for that purpose and are bound to keep it confidential.

This does not apply to information that is already public through no fault of the receiving party, that it already had or developed independently, or that it must disclose by law or court order, in which case it will tell the other party first where the law allows.

11. Termination and data export

You may stop using a product or close your organisation account at any time by writing to zionna@opsgrids.com.

We may suspend or end your access if you materially break these terms and do not fix the breach within a reasonable time after we tell you, or straight away where the breach puts other customers, the products or the law at risk.

Before an account closes, write to zionna@opsgrids.com and we will help you get a copy of your data in CSV or JSON. You can ask for it for up to 30 days after the account closes. We delete your data within 90 days of closure, unless the law requires us to keep it; copies in backups are deleted as those backups expire.

12. Disclaimers

The products are provided “as is” and “as available”. To the extent the law allows, we make no promise beyond what these terms say, including any implied promise that the products are fit for a particular purpose or free of errors.

The products help you prepare tax and compliance records. They are not legal, tax or accounting advice, and they do not replace your chartered accountant or advisor.

13. Limitation of liability

To the extent the law allows, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue or goodwill, arising from these terms or the products. This does not limit our responsibility for loss of your data caused by our failure to keep reasonable security practices.

Our total liability to you for all claims arising from these terms or the products is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits liability that cannot be limited under Indian law, such as liability for fraud.

14. Indemnity

You will compensate us for losses and reasonable costs from a third-party claim that arises from data you put into the products without the right to do so, or from your breach of the acceptable use clause. We will tell you about the claim promptly and let you control its defence.

15. Governing law and jurisdiction

These terms are governed by the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from these terms.

16. Changes to these terms

We may update these terms. When we do, we will change the date at the top of this page, and for a material change we will tell the account owner by email before it takes effect. Continuing to use the products after that means you accept the updated terms.

17. Contact

Questions about these terms, and complaints, go to our Grievance Officer. We will acknowledge them within two working days and resolve them within 30 days. If your question is about personal data that an organisation holds about you in OpsGrids, such as your employer’s attendance records, contact that organisation first: it decides how that data is used.
